You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@neubird.ai if you suspect unauthorized access to your account.

4. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by NeuBird AI or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use NeuBird AI's trademarks, logos, or brand elements.

5. Your Data

You retain ownership of all data you submit to the Services ("Customer Data"). By using the Services, you grant NeuBird AI a limited license to process your Customer Data solely to provide and improve the Services. NeuBird AI handles Customer Data in accordance with our Privacy Policy and applicable data protection agreements.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party.

7. Payment Terms

If you subscribe to a paid tier of the Services, you agree to pay the applicable fees as described in your order form or subscription agreement. All fees are non-refundable except as expressly stated otherwise. NeuBird AI reserves the right to suspend access to the Services for non-payment after reasonable notice.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NEUBIRD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUBIRD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. IN NO EVENT SHALL NEUBIRD'S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless NeuBird AI and its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

NeuBird AI may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, all provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Mateo County, California.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the date at the top of this page or by other means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
